About the position and team:

We have an opening for a skilled corporate/M&A lawyer to join our expanding Corporate & Commercial division in Sydney, collaborating with highly respected partners.

This role offers hands-on experience in corporate & commercial matters, with ample opportunities for learning, growth, and advancement. Additionally, you will have the chance to work with diverse clients. Hall & Wilcox is establishing itself as a prominent firm for middle market corporate transactions, representing various clients such as insurers, financial institutions, venture capital firms, private equity-backed enterprises, publicly listed companies, and large private corporations.

Key responsibilities:
  • Engage in mergers and acquisitions ranging from $1M to over $100M in value
  • Provide counsel to venture capital funds and their targets on investments, including due diligence and negotiation
  • Draft various legal documents such as joint venture agreements, shareholder agreements, and commercial contracts
  • Offer guidance on complex capital raising transactions and corporate structure
  • Advise clients on corporate governance, compliance matters, and other corporate and commercial issues
Skills and experience:
  • 2-4 years of post-admission experience in corporate & commercial law
  • Expertise in advising on corporate/M&A matters, including due diligence, drafting and negotiating acquisition documents, and obtaining regulatory approvals
  • Familiarity with corporate restructuring, corporate governance, licensing, and contracting arrangements
  • Strong legal research and analytical skills
  • Preference for experience with a top-tier, international, or large national firm
