Keyresponsibilities Thesuccessful candidate will be involved in a range of matters,including: actingon mergers and acquisitions ranging from $1 M in value throughto values exceeding $100 M; advisingventure capital funds and targets of venture capital funds oninvestments including due diligence andnegotiation; draftingdocumentation including joint venture and shareholderagreements, security holder agreements and commercialcontracts; advisingclients on complex capital raising transactions for entitiesraising capital and for investors; providing advicepertaining to corporate structure; advisingprivate and public sector clients on corporate governance andcompliance issues; a rangeof general corporate and commercial matters.

Skills andexperience We are keento hear from candidates with the following skills andexperience: 2-4years post admission experience gained in a corporate &commercial practice; experience advising onkey matters relating to corporate/M&A including duediligence, drafting & negotiating acquisition documents andregulatory approvals including FIRB; experience withcorporate restructuring and corporate governance; someexperience of licensing and general contractingarrangements; highlydeveloped legal and research skills; and experience with atop-tier, international or large national firmpreferred.
