The firm prides itself on its commitment to excellence, innovation, and client satisfaction.The Corporate and M&A practice group plays a pivotal role in advising clients on complex corporate transactions, mergers and acquisitions, and strategic business matters.
Our client is seeking a highly motivated and experienced Corporate / M&A Lawyer to join their dynamic team.The successful candidate will be involved in a wide range of corporate and transactional matters, working closely with clients to provide comprehensive legal counsel on mergers, acquisitions, joint ventures, divestitures, corporate restructuring, and other strategic corporate transactions.
As a key member of the team, the candidate will collaborate with experienced lawyers and have the opportunity to work on cutting-edge deals and high-profile cases.
Responsibilities Mergers and Acquisitions:
draft and negotiate transactional documents, including asset and stock purchase agreements, shareholder agreements, and conduct due diligence investigations and identify potential risks and opportunities in M&A deals.
Corporate Advisory:
advise clients on various corporate governance matters, securities regulations, compliance issues, and legal implications related to business operations and investments.
Joint Ventures and Strategic Alliances:
provide legal support in negotiating and structuring joint venture agreements, strategic partnerships, and other collaborative business arrangements.
Corporate Restructuring:
participate in corporate restructuring projects, such as mergers, spin-offs, and liquidations, ensuring compliance with relevant laws and regulations.
Client Counselling:
engage directly with clients to understand their business objectives and offer tailored legal solutions to address their specific needs and challenges.
Legal Research and Analysis:
stay abreast of legal developments, industry trends, and best practices to provide proactive and innovative legal advice to clients.
Team Collaboration:
collaborate effectively with colleagues within the Corporate and M&A practice group and cross-functional teams to deliver comprehensive legal services to clients.
Qualifications:
The ideal candidate should have 4+ years of relevant experience in corporate law and M&A transactions at a reputable law firm or in-house legal department.
Sound academics.A proven track record of handling complex corporate transactions, including M&A deals, joint ventures, and corporate restructuring.
Deep understanding of corporate laws, securities regulations, and relevant industry practices is required.
Exceptional drafting, negotiation, and communication skills are essential.
Strong analytical and problem-solving abilities with a keen attention to detail are expected.
The candidate should have the ability to work under pressure, manage multiple priorities, and meet deadlines.
Demonstrated ability to build strong client relationships and deliver high-quality legal services is a must.
Excellent teamwork and interpersonal skills, with a collaborative and client-focused approach, are highly valued.
