About the Firm

Our client is a global law firm with more than 2,500 lawyers in 42 offices across five continents. The firm’s Australian offices, established primarily to service existing international clients seeking to invest in Australia, have more than doubled in size over the past five years and are committed to further growth in Sydney, Brisbane, Melbourne and Perth.

The M&A Practice

M&A is a core part of this firm’s business. Our client has over 400 M&A lawyers across 17 countries. Their corporate law specialists are market respected lawyers. Their team acts for many ASX listed companies and has deep experience advising on corporate governance issues, including continuous disclosure, directors’ duties, ASX listing rule compliance matters and liaising with regulators such as ASIC, the ACCC and ASX.

They regularly advise on M&A (public & private) as well as distressed / special situation transactions, restructurings, joint ventures, partnerships and corporate advisory matters. In executing deals, the M&A team draws on sector experts to deliver a genuine ‘full-service’ transactional offering. With a huge network of M&A lawyers to draw from, they can quickly ‘scale up’ if the deal requires it.

Recent examples of matters the Australian M&A team has advised on include:

  • an ASX-listed company on a A$2 bn merger-of-equals
  • an ASX-listed energy and resources company on a A$4 bn merger
  • a leading ASX-listed tech company on its acquisition which involved the issue of transaction-specific convertible preference shares.
  • a large financial services company on its A$200m combined debt and equity investment
  • a wide range of ASX-listed companies (and formerly ASX-listed in some cases) on their corporate governance and advisory matters.

The Role

The Sydney office is seeking an Associate with a minimum of 3 years’ M&A experience at a reputable firm, working on sophisticated mergers & acquisitions transactions and general corporate matters.

Additionally, candidates should have excellent drafting and negotiations skills, superior academic background and a desire for teamwork, significant responsibility and client interaction.

The team are very “hands on” and our clients receive a high level of access to partners and senior lawyers. They pride themselves on their ability to cut to the chase and deliver solutions and commercially focused outcomes.
