Job Summary:

This role plans and coordinates various contracts actions to win, negotiate, administer and close contracts geographically located in the APAC region on behalf of Cubic and their affiliates as well as parent company.

Ensures compliance with applicable laws, regulations and contractual terms and conditions for assigned contracts. Manages complex, major systems (and services) prime contracts and related subcontracts to ensure that all requirements and obligations are fulfilled.

Tasks include coordinating and submitting high dollar value (>$10M) proposals, and leading negotiations. Together with the Project Management Team, proactively anticipates, identifies, analyzes and informs management of the financial, legal and performance risks that can impact success.

Ensures Cubic continues to manage its contractual obligations (internal and external) and keep management informed regarding performance under assigned Contracts/Subcontracts.

This position typically exercises significant discretionary and substantial decision-making authority under limited supervision and direction.

Essential Job Duties and Responsibilities:

  • Plans and coordinates various contracts actions to win, negotiate, administer and close contracts geographically located in the APAC region on behalf of Cubic and their affiliates as well as parent company (as assigned). Duties include: proposal planning, proposal preparation, administration of contracts, and contract closeout, subject to the One Cubic Authority Matrix
  • Has contracts responsibility for the preparation of solicitations, negotiation and execution of key subcontracts with Australian and foreign suppliers under prime contracts in the APAC region, including the oversight of such efforts conducted by any direct or sub-tier reports
  • Coordinates with Contracts leadership, Business Development, Program Management, Engineering, Business Unit Management, Cost Estimating, and Legal personnel on proposal preparation, review and submittal. Negotiates with customers, working directly with a team of cognizant functional department personnel in conducting the negotiations to assure the contracts achieve the company’s business objectives
  • Ensures compliance with departmental and company-wide Contracts policies and procedures so that work performed meets legal, regulatory, contractual and Company requirements
  • Keeps Contracts Department and cognizant functional and program managers informed of outstanding issues that may impact program, departmental and/or Company objectives for assigned contracts.
  • Reviews solicitation requirements and provides an independent risk assessment to Proposal/Program Managers and leadership as required, including the oversight such efforts conducted by any direct or sub-tier reports
  • Identification of potential liabilities, risks, issues and disputes, arising with customers, suppliers, partners and third parties, and produce innovative mitigation plans
  • Complies with any applicable import/export license requirements and ensures shipments of hardware and delivery of technical data are completed in accordance with Cubic’s Export Compliance Manual and Technology Control Plan
  • Upon receipt of an executed contracting action, ensures that sales orders to authorise work be completed in an accurate, complete and timely manner
  • Supports advanced planning and other functions of the Subcontract Management Team (SMT) for assigned contracts/subcontracts
  • Ensures compliance with and observes all legal / regulatory compliance requirements and practices, including (but not limited to) Australian statutes and regulations, particularly Foreign Corrupt Practices Act, and foreign government statutes and regulations for assigned responsibilities.
  • Remains current on legal/regulatory updates affecting contracts and agreements
  • Negotiates Non-Disclosure Agreements, Memoranda of Understanding/Agreement and similar Agreements in support of programs and opportunities assigned, including the oversight such efforts conducted by any direct or sub-tier reports
  • Ensures that contract billings and payments are submitted and received in a timely manner. This includes follow-up on unbilled receivables or overage billings
  • Resolves issues regarding contractual performance, including claims, changes, and terminations with little intervention from senior leadership
  • Interacts with, confers, briefs, and makes recommendations to management regarding the progress and impact of potential contract and subcontract-related activities on the project. Prepares contract and subcontract reviews and reports on issues
  • Drafts contractual agreements and subcontracts; edits terms and conditions and flow-down requirements for subcontracts based on prime contracts consistent with company Legal and Contract policies
  • Oversees project related subcontracts to ensure compliance with terms, including schedule and scope of work and is responsible for all subcontract incoming and outgoing correspondence
  • Ensures that contract databases are updated in an accurate and timely manner
  • Mentors personnel in Program Management, Engineering, Business Development, Quality and Material in Contracting law, regulation and process
  • Position scope may include the responsibility to supervise junior team members or direct the work of others within the Contracts/Subcontracts function.

Qualifications

Essential:

  • Degree qualified or equivalent in a technical or business-related discipline

Skills/Experience/Knowledge

Essential:

  • 10 years-experience in contracts and subcontracts management
  • Demonstrated leadership ability in Contract Management for high-value contracts for highly complex products and systems, which include development, service agreements, hardware and software installation and maintenance agreements etc., for both commercial and government agency customers
  • Thorough knowledge of prime/subcontract formation and administration activities, and proven ability to effectively negotiate complex terms, conditions and price involving major systems. Ability to provide workable solutions to address a wide variety of contractual challenges.
  • Must be able to prioritize assignments and meet deadlines with minimal supervision, working extended hours, as required
  • Demonstrated leadership ability in Contract Management for various types of contracts for both commercial and federal government customers, ranging in size from $1M to in excess of $50M
  • Ability to provide workable solutions to address a wide variety of contractual challenges
  • High level of proficiency with Microsoft Office suite

Desirable:

  • Experience in international contracts
  • SAP experience

Personal Qualities

  • Strong written and oral communication skills a must.
  • Possess interpersonal skills necessary to interact in extremely delicate, sensitive and/or complex situations dealing with Australian and foreign agencies and commercial customers.
  • Must be able to travel domestically and internationally.
