**Your Role**
You will be a part of our Company Secretariat team based in Sydney. As a Company Secretary, you'll play a vital role in providing professional company secretarial customer services to internal and external clients of the firm, and providing assistance in relation to company secretarial matters to our lawyers. In this role, you will gain exposure to complex, technical work which will propel your career forward.
Your key responsibilities will include:
- Provision of Company Secretarial Services to clients, including:
- Providing the services of a company secretary including corporate registry maintenance, preparation of minutes and resolutions and drafting and lodgement of ASIC forms and ancillary documents.
- Incorporating Australian companies and registering foreign companies in Australia.
- Acting as a local agent for foreign registered companies.
- Providing corporate regulatory compliance services to local and foreign clients.
- Maintaining physical and electronic statutory registers of companies and trusts.
- Auditing and updating statutory records where required.
- Deregistering Australian and foreign companies where required.
- In-house services to the Sydney office’s legal staff, including:
- Assisting lawyers working on large transactions in the preparation of company documents including minutes, resolutions and other documents as required by the Corporations Act and other relevant legislations.
- Preparing and lodging ASIC forms and other documentation as required.
- Ongoing maintenance and updating of the relevant software packages, including the Corporate Affairs System (CAS 360 software package) and lodging forms electronically.
- Supervisory responsibilities for a small team.
This is a permanent, full-time opportunity however we support flexibility, and would be happy to discuss what arrangements would work best for you. We also support a hybrid working model, where working from home, and the office, is part of our norm.
**What you'll bring**
To succeed in this role you will have:
- Solid understanding of the company secretariat function.
- A good working knowledge of the Corporations Act and company reporting requirements.
- Excellent customer service skills, providing a seamless service to clients and lawyers.
- Strong business development skills.
- Strong interpersonal skills and an ability to build rapport across departments and practice groups.
- An ability to work independently and proactively.
- Good organisational skills.
- Accountability, reliability and confidence, with proven ability to work with a remote team.
- Ability to work under pressure, with tight deadlines.
- Solid experience in accounting, legal or other compliance related roles is preferable.
- A commerce, accounting or economics and/or legal degree (or equivalent) would be preferable, alternatively qualifications from the Governance Institute of Australia would be desirable.
