**About the role**

The primary purpose of the role is provision of high quality, timely and effective secretarial support, and corporate governance to RSPCA Queensland, along with providing advice and guidance on corporate governance practices, director duties and responsibilities to the members of the Board.

In addition, ensuring that RSPCA Queensland operates in compliance with all its legal, regulatory and risk obligations, and be an effective guardian of the organisation.

**Company Secretary**
- Ensure that statutory secretarial requirements and the secretarial needs of the organisation are outlined and adhered to.
- Support and coordinate the preparation of the organisation’s board and committee papers, meeting minutes and recommendations to Board.
- Ensure meeting actions are carried out in a timely manner.
- Maintain Company Registers.
- Maintain and coordinate review of the suite of Board approved Governance Documents.
- Assist with reviewing, drafting, and amending policies, standards and procedures relating to information records management, audit, compliance, and governance.
- Oversee the reviewing of policies and policy instructions to ensure they are reviewed and approved by board and SLT on a regular basis.

**Compliance and Risk**
- Develop and oversee an organisation-wide compliance framework.
- Assist the Board with the oversight of the Risk Management framework and Risk Appetite Statement.
- Assist the CEO and SLT with the implementation and review of the RMF including maintenance of the Enterprise Risk Register.
- Anticipate issues and estimate risks strategically.
- Identify proactive solutions that will eliminate or mitigate risks.
- Create associations of trust and respect with key stakeholders.
- Assist the CEO in dealing with complex, significant matters that cut across legal, risk and governance related areas.

**Who are we looking for?**
- Proven Company Secretary experience (ideally not for profit).
- Proven experience in the areas of compliance and risk.
- Demonstrated knowledge and understanding of contemporary risk management practices and standards in accordance with ISO-31000 Risk Management Guidelines.
- Proven track record of reviewing and providing recommendations relating to governance, compliance, and risk requirements, preferably within a not-for-profit organisation.
- Ability to influence others to drive action and uncover potential risk to the business.
- Understanding of relevant ISO standards.
- High degree of professional ethics, integrity, and gravitas.
- Excellent judgement and analytical skills.
- First class interpersonal and communication skills.
- Genuine interest in animal welfare and the objectives of RSPCA.

This is a full-time position. Remuneration is commensurate with qualifications, experience, and skills.
