**About the role**
With the current incumbent moving on to other interests in the new year, we are seeking an experienced Company Secretary. The specific hours for the role could be structured flexibly, but would require attendance at all Board / Committee meetings that commence early in the morning.
This role reports to the Chair of the Board and CEO and is accountable for:
- Providing professional and relevant governance advice and support to the Sunnyfield, Gateway and ESF Boards and 4 Committees (Audit Finance and Risk, Human Resources**;** Nomination and Remuneration; Housing, Property and Equipment; and Clients Rights and Safeguarding) - this would include preparing:
- agendas and papers for Board meetings
- annual statutory lodgements;
- updating Board Charters, Policies, and annual planning;
- Coordination of the Annual General Meeting; and
- Other Governance matters
- Ensuring that accurate and appropriate documentation exists to meet all governance, constitutional, and legal compliance requirements, and authorised persons are equipped to determine when, how and by whom the organisation’s business is conducted;
- Assisting the Board with Director succession planning, nomination processes, and effective new Director onboarding;
- Delivering accurate and timely counsel (including liaison with external lawyers as appropriate) on relevant legal matters and topics for the Board and Senior Management;
- Proactively liaise with the CEO (joint company secretary) and Senior Leadership Team, in understanding the organisational strategic direction and objectives; quality, risk and compliance frameworks;
- Effectively identify and communicate to the Board and/or senior management unidentified material risks and legal issues involved in any decision.
**About you**
To be successful in this role, the following would be idea:
- Highly structured, proactively organised and disciplined;
- Ability to oversight numerous reports simultaneously, and remain resilient, calm and considered, under deadline pressure
- Strong consultative leadership, with a demonstrated ability to lead in a growing, low margin and rapidly changing environment
- Professional, confident and persuasive presenter with well-developed influencing and interpersonal skills; strong EQ;
- A strategic thinker with sound commercial acumen
- Outcome and results driven
Knowledge/Experience:
- Management experience as Legal Counsel and Company Secretary, ideally in an ASX listed or large organisation
- A strong understanding of legal policies and procedures present in a highly regulated environment
- Bachelor of Law or comparable Law Degree
- Post-graduate qualifications in a Business-related discipline e.g. Company Secretary or Governance
- Membership of relevant professional organisation/s
- NGO or NFP experience is desirable
- Affinity with Sunnyfield's Vision, Mission and Values
