The Commercial Contracts Manager shall be responsible to support the Project Managers (PMs) and lead the team in Contractual Obligation Management, Contract Administration and Claim Management with regards to the Customer (and Consortium Partner) Contract(s). and similarly support Procurement with regards to Supplier Contracts and Sales in regards to tender preparations. The Commercial Contracts Manager shall ensure that all Project Management Team functions have understood the obligations which the Company has to fulfill under the respective Customer (and Consortium Partner) Contract(s) and in consultation with the PM ensure that our Company contractual rights are exercised correctly.
It shall be the Commercial Contracts Manager’s role and responsibility to understand contractual risks, obligations and opportunities and advise on and present strategies and evaluations, together with a PM, to the Programme Manager.
In this role you will be responsible for:
- Establish and implement, jointly with a Project Manager, the Project Commercial Strategy towards the Customer (and Consortium Partner) continuously seeking opportunities for improvement of the Project’s commercial situation and effectively managing major claims and variations;
- Establish and maintain the Contractual Obligations matrix liaising with Project Management Team functions to ensure obligations are understood and effectively implemented within the respective functional activities;
- Development, implementation and control of contract management procedures and policies to ensure a consistent approach, best practices, protection against liability issues and Company’s interest are protected;
- Draft contractual letters for major matters and provide assistance to PMs in relation to the same as required;
- Serve as a point of contact for customers on contractual matters and assist/lead in negotiations;
- Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects;
- Work with Finance to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting, etc. Tasks may include ‘financial engineering’ and understanding / evaluating economic impact;
- Participate in meetings to ensure early recognition and action to address challenges with fulfillment the Company’s contractual obligations and ensure timely notification to Customer (and Consortium Partner) of deviations in performance of Customer (and Consortium Partner) obligations toward the Company. Implement the Claims Management process (Monetary, Extension of Time (EOTs) and other) within the Project to ensure effective identification and resolution of Claims ensuring legal support if obtained in a timely manner;
- Support the Tender Team in review of terms and conditions of major tender contracts, including drafting of commercial/contract management clauses;
- Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation;
- Taking the lead on communication and dealing with any legal council (external or internal) in relation to projects and support PM’s in raised legal matters; and
- Handle on-going issues, review and management of other legal and contract documents and correspondence as directed by the Programme Manager.
