About The Role
Key Responsibilities:- Provide strategic legal advice and support to various business units on a broad range of commercial issues, including contract management, risk mitigation, and regulatory compliance.
- Draft, review, and negotiate a wide range of commercial contracts, including non-disclosure agreements, service agreements, and supplier contracts.
- Ensure that all contracts align with the company's legal and commercial strategies.
- Stay updated on relevant laws and regulations affecting the business and provide guidance on compliance.
- Oversee the implementation and maintenance of quality management processes, including ISO 9001 standards.
- Collaborate with the quality assurance team to ensure legal aspects of quality management are addressed.
- Provide legal advice on environmental, social, and governance (ESG) initiatives and ensure compliance with relevant regulations.
- Ensure compliance with statutory and regulatory requirements, including filing annual returns and maintaining company records.
- Prepare and distribute board meeting agendas, minutes, and resolutions, and ensure proper documentation of board decisions.
- Advise the board on corporate governance matters, including compliance with the company's constitution and relevant laws.
- Manage shareholder communications and ensure proper maintenance of the company's share register.
- Facilitate the induction of new directors and provide ongoing training on corporate governance best practices.
- Develop and implement internal policies and procedures to ensure legal and regulatory compliance across the organization.
- Monitor and report on legal and regulatory developments that could impact the business.
- Manage legal risks associated with contracts, quality processes, and ESG initiatives.
About You:
- Admission to practice law in Australia.
- Some industry exposure would be beneficial but not a prerequisite.
- Be prepared to work on site.
- Minimum of 6 years of experience in a commercial legal role.
- Proven experience in drafting and negotiating non-disclosure agreements and commercial contracts.
- Familiarity with ISO 9001 standards and ESG compliance requirements.
- Strong understanding of corporate governance and company secretarial practices.
- Excellent communication and interpersonal skills, with the ability to influence and collaborate with stakeholders at all levels.
- Strong organizational skills with the ability to manage multiple projects and priorities simultaneously.
- Excellent commercial nous.
- Have exceptional attention to detail.
