Following this review, Perpetual Limited will become a standalone Asset Management business, while its Corporate Trust and Wealth Management businesses are being acquired by an affiliate of Kohlberg Kravis Roberts (KKR).

Job Overview

We are seeking an experienced Company Secretary to join our team at Perpetual Corporate Trust. The successful candidate will be responsible for ensuring that all subsidiaries comply with relevant legislation and regulations, including the Corporations Act, ASX Listing Rules, and Companies' Constitutions.

Key Responsibilities
  • Perform duties and responsibilities as a Company Secretary to various subsidiary boards and committees within the newly formed Perpetual Corporate Trust.
  • Plan board business in conjunction with the Company Secretary and board Chairs.
  • Prepare annual members meeting agendas, chairman script, minutes, and action summaries.
  • Coordinate the collection and distribution of board and committee papers ahead of meetings.
  • Follow up on outstanding action items and liaise with internal and external stakeholders on relevant actions arising.
  • Ensure regulatory and corporate governance requirements are met and liaise with internal stakeholders as required.
  • Incorporate best practice corporate governance processes into board business and maintain strong corporate governance frameworks.
Requirements
  • A graduate qualification in commerce, business, governance, or law.
  • Associate or Fellow of Governance Institute of Australia or a qualified lawyer with a valid practicing certificate.
  • Proven experience as a Company Secretary or in a similar governance/compliance role.
  • Knowledge of ASX Listing Rules requirements as they relate to Listed Investment Trusts and Exchange Traded Managed Funds.
  • Outstanding organisational skills, including ability to set priorities and pursue tasks to completion within deadlines.
  • Outstanding stakeholder management and communications skills.
