Corporate Governance and Advisory Professional

We are seeking a mid-senior level paralegal to fill this key role. The ideal candidate will have at least 3 years' experience in a professional services environment, previous experience in a corporate paralegal or secretariat role, knowledge of regulatory portals or lodgement processes, excellent analytical, communication, and research skills, a commitment to high work standards and strong attention to detail, an ability to manage competing priorities and work flexibility, an ability to demonstrate initiative and proactivity, an ability to develop strong relationships, and an ability to work well in a team environment.

  • The successful candidate will be responsible for registering public, proprietary and foreign companies; maintaining and updating the corporate registers for a large portfolio of local subsidiaries and foreign-registered companies; ensuring compliance with relevant legislation; drafting documents to effect changes to companies, including but not limited to change to directors, issue and transfer of shares, share buy-backs, application of class orders; change of name and change of company type and deregistration;
  • Drafting AGM and board of director minutes;
  • Transactional matters including preparation of pre and post-closing documentation in relation to acquisition and disposal of companies;
  • Registering business names;
  • ASIC Industry Funding and ASIC Regulatory Portal lodgements;
  • Overseeing ASIC filings and search requests for related practice groups within our organisation;
  • Conducting legal audits of corporate registers;
  • Conducting due diligence;
  • Reconstructing register of members and records;
  • Providing assistance and information to local and international offices regarding corporate practices.
