**Purpose of the Pre-Contracts Function**
- The Transport division has a significant pipeline of new project opportunities to pursue.
- Tenders, Transactions and Augmentations that will be led by the Pre-Contracts function will typically be in excess of $100m in value, involve multiple business units in the Transport Division requiring an integrated response.
The recently established Pre-Contracts function within the Transport Division has been created with the primary objective of leading the pre contract tendering activities, together with the Transport Division business units, to capture these project opportunities.
**Job Purpose**
As part of a high-performance team, the role of Commercial Manager in Pre-Contracts is a critical success factor in securing competitively tendered projects for the Transport Division, reaching Contract/Financial Close and through Transition.
Reporting to the Commercial Director Pre-Contracts, you will be primarily responsible for providing commercial, financial and contractual expertise during the pre-contract stage of the Transport LOB tenders / projects to ensure that the projects are commercially successful whilst providing governance to the systems and processes to ensure compliance. The Commercial Manager may be required to manage a number of staff as part of the Commercial team structure as determined by the Commercial Director.
**Responsibilities**
- Lead and advise on the formulation and execution of commercial strategies, in order to maximise the profitability of Transport projects
- Project manage internal and external technical, legal and commercial teams, JV partners and customers during the pre-contract, negotiations and mobilisation phase (if required).
- Negotiate and settle upstream and downstream commercial positions to achieve an acceptable commercial resolution which safeguards UGL’s interests.
- Develop and maintain effective and collaborative relationships with key stakeholders.
- Maintain positive and effective communication channels and protocol between the Group Commercial team and Transport sector.
- Provide regular, clear briefings, analysis and summaries of complex legal, technical and commercial bid and contract issues for non-specialist audience and executives and offer input into the Transport Bid Strategies.
- Provide direction on co-ordination & review of legal position and compliance matters, in conjunction with internal UGL legal team (and, external legal advisors, where appropriate)
- Be responsible for negotiation and finalisation of head contract terms and conditions and project risk parameters, consistent with bid risk profile, UGL Tender Policy and risk appetite or prepare and present business cases and rationale for approval to accept risk to Senior Corporate Executives.
- Establish Contract commercial teams and ensure contractual and commercial rights and obligations are clearly communicated to the project delivery team
- Managing all allocated commercial pre-contract activities including EOI’s, Tenders and Confidentially Agreements
- Leading and mentoring Contract Administrators and Commercial Analysts
- Preparing and reviewing head contracts and commercial documents and lead contractual negotiations with the client
- Ensuring insurance obligations can be met for head contract by coordinating with insurance representatives
- Participating in effective commercial handover between tendering and projects
**Qualifications**
- Degree qualified in either Engineering, Law or Construction Management is preferred but not essential
- Ability to achieve outcomes in an environment of managing complex stakeholder relationships, including key business partners.
- Strong experience of tendering large projects including PPPs
- A sound knowledge of project management principles
- A sound knowledge of contracts and legal principles.
- Skill in reading and comprehending project reports.
- The role will require travel across Australia and New Zealand
- During tenders the role will be required to be based from Bid Offices
