Assistant to the Corporate Governance Liquidations Manager in delivering the Corporate Governance aspects of the Legal Entity Rationalisaton Project. Come and join our dynamic Sydney Liquidation Projects team on a 12-month contract with the possibility of extension.

You will provide key governance and company secretarial inputs into the project and support to senior directors, business group heads and support divisions on a global project to liquidate/dissolve entities that are no longer required. You will assist the Corporate Governance Liquidations Manager in implementing the corporate governance/company secretarial elements of the dissolution step plans.

Your responsibilities will include:

- assisting with collating due diligence on entities proposed for dissolution/liquidation and then supporting FMG Liquidation Project Team and the local Governance team with obtaining sign off on said due diligence
- work closely with both external and internal stakeholders (including Finance, Tax, Treasury, Compliance and Legal).
- assist the Corporate Governance Liquidations Manager with de-registration tasks and board meeting management.
- pre board preparation: drafting agenda, liaising with external service providers and internal teams, as appropriate, to collate and then review the papers, prior to timely distribution to Directors.
- draft post board actions and aid in the timely and accurate closing out of these actions, obtaining appropriate signings as applicable, both internally and externally.
- liaise with Global Governance team and update statutory registers: ideally with experience of Diligent Entities.

You will be self-motivated with good attention to detail and will have good foundation of company secretarial and corporate governance knowledge and experience gained in a similar, fast paced environment. Your integrity and pragmatic approach to problems will be your strength along with the ability to communicate with people at all levels within our business.
