PolyNovo is an Australian multinational based in Melbourne. PolyNovo designs, develops and manufactures innovative dermal regeneration solutions. With government approvals and registrations world-wide, PolyNovo saves lives and enhances clinical outcomes for patients across the globe. Its disruptive technology platform, a patented bioabsorbable polymer called Novasorb®, is currently sold across Europe, North America and Asia Pacific.

Novosorb® Biodegradable Temporising Matrix® achieved FDA 510(K) clearance in 2015 and has been awarded an $11 million contract and a further $25 million in funding from the US-based Biomedical Advanced Research and Development Authority (BARDA) to fund clinical trials in the US. With a 500% increase in its US Sales force since 2019, PolyNovo has also significantly expanded its R&D and manufacturing capacity and facilities in its Melbourne headquarters, establishing high quality processes to enable product innovation and exponential future growth.

An exciting opportunity has now become available in their Melbourne headquarters to join their expanding global team as General Counsel & Company Secretary.

**About this role...**
As a trusted legal advisor and member of the Executive Team, the primary function of this role is to be PolyNovo's principal legal advisor (globally) and perform the duties of a Company Secretary. In an environment which promotes diversity, growth and clinical excellence, you will be PolyNovo's guardian, reducing legal risk exposure, responding to legal challenges, and facilitating the Company's growth and development by ensuring its legal interests are protected in all business engagements.

Your responsibilities will include (but not limited to):

- ensure compliance with state and federal laws and regulations in all jurisdictions;
- identify, analyse and investigate potential legal threats and develop appropriate practices to mitigate risk and respond effectively;
- ensure business development activities are conducted in a way that protects the company's interests;
- provide (or commission) legal opinion on corporate/commercial, contractual, intellectual property and privacy issues;
- assist departmental managers and staff with internal policies and procedures;
- liaise with regulatory bodies, external counsel and other external parties;
- provide company secretariat support for entities within PolyNovo's group of companies;
- ensure Board, subsidiary and committee meetings are run efficiently and effectively;
- manage and administer ASX's electronic Board Paper solution;
- advise the Board and Sub-Committees on governance matters and provide legal interpretation and recommendations;
- oversee preparation of regulatory/statutory filings and responses to requests for information;
- contract management (maintaining filing, monitoring dates for renewals, expiries, reporting etc.); and
- oversee expenditure on legal services.

**About you...**
- LL.B or Juris Doctor (MBA, MCAID, other relevant qualifications highly regarded);
- minimum 10 years' post admission experience as a Corporate/Commercial Lawyer with M&A experience (US and Australia) (previous experience as a General Counsel/Chief Legal Officer or Company Secretary would be an advantage);
- **solid understanding of Australian **and** US legal/business practices and legislation;**:

- demonstrated success in developing legal strategy and objectives (exposure to legal issues within the biotechnology sector highly regarded, but not essential);
- ability to foresee and prevent/mitigate legal and business risk;
- strong moral and ethical principles;
- excellent judgement and analytical skills;
- highly developed and effective written and oral communication skills; and
- strong leadership and management skills.
